TERMS AND CONDITIONS OF SALE
Vision Stoves & Fireplaces Ltd
Once your quotation (“Quotation”) and sales order form (“Order Form”) have been agreed between you as the customer (“you”) and Vision Stoves & Fireplaces Ltd (“we”, “us” or “our”), and you have accepted these terms and conditions of sale (“Terms”), a legally binding agreement (“Contract”) is formed. This Contract relates to the supply of fitted and/or supply-only goods (including bespoke and non-bespoke items) (“Goods”) and any related installation or associated services (“Services”) as detailed in your Quotation and Order Form.
These Terms govern how Vision Stoves & Fireplaces Ltd supplies the Goods and Services to you. Please read them carefully as they set out your rights and responsibilities.

CONFIRMATION AND SPECIFICATION OF GOODS AND SERVICES
Formation of Contract
A binding Contract is formed only when:
- A quotation has been accepted,
- A formal Order Form has been issued,
- A deposit has been received by us.
Payment of a deposit confirms your acceptance of both the Order Form and these Terms. No Contract exists until the deposit has cleared. The remaining balance must be paid in full prior to delivery for supply-only orders or no later than 7 days before installation where installation is required.
Specification
All Goods supplied will match the agreed Quotation and Order Form and will be of satisfactory quality and fit for purpose. All Services will be carried out with reasonable care and skill.
We reserve the right to make reasonable changes to the specification where required for legal, technical or safety reasons, provided such changes do not reduce quality or performance or place you at a disadvantage.
Natural Materials
Where Goods are made from natural materials such as stone or wood, variations in colour, grain and appearance are a natural feature and do not constitute a defect. Natural materials are not guaranteed against heat-related changes, and we accept no liability for such variations.
Changes Requested by You
Any changes you request after the Contract has been agreed must be confirmed by us in writing. Additional costs may apply and will be confirmed before proceeding.
PRICE, PAYMENT AND OWNERSHIP
Pricing
Prices may be affected by changes in material costs and availability. We may revise prices with at least 30 days’ written notice.
Unless otherwise agreed, a 50% deposit is required at the time of order. The remaining balance must be paid at least 7 days before installation or before delivery for supply-only orders. We will not deliver or install until payment has been received in full.
VAT
All prices include VAT at the prevailing rate. Any future changes to VAT rates will be reflected accordingly.
Payment Methods
We accept payment by cash, debit card, credit card or BACS (details provided on your Order Form).
Late Payment
If payment is not made on time, we may suspend delivery or installation without liability and may charge statutory interest on overdue amounts.
Ownership and Risk
Goods become your responsibility upon delivery. However, legal ownership of the Goods remains with Vision Stoves & Fireplaces Ltd until full cleared payment has been received. If payment is overdue, you must allow us reasonable access to recover the Goods if required.
DELIVERY AND INSTALLATION
Delivery
Delivery charges will be advised prior to ordering where applicable. All delivery and installation dates are estimates only and are not guaranteed.
Delays
We are not responsible for delays caused by matters beyond our reasonable control including weather, staff illness, or supply chain shortages. Such delays do not entitle you to cancel the Contract.
UTILITY SUPPLIES AND SAFETY
You must ensure that your property has safe and suitable electrical and gas supplies before work begins. If an electric fire is being fitted, a fused spur must already be installed. We do not fit fused spurs unless specifically quoted.
Any remedial work required to make supplies safe must be carried out by you at your expense unless caused by our breach of these Terms. We will not be liable for delays arising from unresolved supply issues.
YOUR RIGHTS
Cancellation
You may cancel prior to delivery without charge. Limited cancellation rights also apply following installation for non-bespoke Goods. Full details are set out in the Cancellation Rights section below.
Delay by Us
If we fail to meet an agreed date for reasons within our control, you may provide us with a reasonable additional time to complete the work. If we still fail to do so, you may terminate the Contract.
ACCESS TO YOUR PROPERTY & LIABILITY FOR DAMAGE
You must provide us with unrestricted access to your property, along with access to water, gas and electricity as required. You are responsible for securing any necessary permissions or consents.
Once delivered, you are responsible for the Goods unless damage is caused by us. Some minor cosmetic disruption is inevitable during installation and is not our responsibility to repair unless otherwise agreed.
We will make good any cuts or holes we create but decorative finishes are excluded unless specified in writing.
STRUCTURAL DEFECTS
We are not liable for damage resulting from hidden structural defects unless the issue was reasonably identifiable following a visual inspection and directly caused by our breach.
DANGEROUS MATERIALS
Non-hazardous waste removal is only included where quoted. Hazardous materials will only be removed by us if agreed in advance for an additional charge. Otherwise, you must arrange specialist removal at your cost. We reserve the right to suspend or terminate the Contract if this is not done promptly.
SUSPENSION OR TERMINATION BY US
If work is delayed due to your actions or omissions, we may charge reasonable additional costs arising from the delay. If you fail to rectify a serious breach after written notice, we may terminate the Contract and recover reasonable costs incurred.
OUR LIABILITY
We do not limit liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Defective products under statutory law
We are only liable for losses that are foreseeable and directly caused by our breach. We are not liable for indirect losses, including loss of earnings, or for losses caused by your own actions.
VARIATIONS & ASSIGNMENT
Any changes to these Terms must be agreed in writing. We may subcontract or assign part of the Contract without affecting your rights.
WARRANTIES
General
Installation work is warranted for 5 years. All Goods carry the manufacturers’ warranty (excluding showroom displays). Goods must be inspected within 3 days of delivery/installation.
Solid Fuel & Multi-Fuel Stoves
Wear components such as glass, seals, firebricks and grates are excluded. Appliances must be serviced annually and fitted by a HETAS engineer.
Gas Appliances
Must be installed and serviced annually by a Gas Safe registered engineer. A valid gas safety certificate must be provided.
CUSTOM MADE & BESPOKE GOODS
All bespoke, made-to-measure and custom-configured products are non-refundable and non-cancellable once ordered. This includes products from manufacturers such as Dru, Kalfire, Spartherm, Stovax, Gazco and others.
DESIGNS & DRAWINGS
Designs are provided free initially. If an order is cancelled:
- First drawing: £500
- Revisions: £100 per revision
FINANCIAL CONDUCT AUTHORITY
Credit broking is governed by FCA CONC 2.5. Further details are available via the FCA Handbook.
TERMINATION
These Terms automatically end at the expiry of the applicable warranty period unless ended earlier. Termination does not affect existing rights or liabilities.
CANCELLATION RIGHTS – NON-BESPOKE GOODS ONLY
You may cancel within 14 days of delivery for standard non-bespoke Goods purchased off-premises. Cancellation must be made in writing.
If installation has started during the cancellation period at your request, reasonable charges will apply for work already completed.
Bespoke, made-to-measure and custom-order Goods are fully excluded from cancellation rights.
